CHAP. I. PRINCIPLES

Art. 1. European Society of Mathematical Chemistry (ESMC) is a scientific, professional, non-governmental, non-profit and non-politic association. It joins specialists in the field of Mathematics and Chemistry, and works as an independent organism.

Art. 2. The seat of (Directory Council of) the European Society of Mathematical Chemistry is in Cluj, Bucuresti Str. 81, Romania, up to the General Meeting of ESMC will decide the changing (of the seat of the Directory Council).

CHAP. II. GOALS and OBJECTIVES

Art. 6. European Society of Mathematical Chemistry has its main goals the promoting and supporting the science, scientific research and education in the field of of Mathematics and Chemistry, and to facilitate the relationships among researchers in the mentioned fields.

Objectives:
a)to promote the Mathematical Chemistry as a new interdisciplinary science, to help to the integration of European Science (East and West) by providing a flexible frame of work and cooperation;
b)to establish and reinforce the collaboration among institutions and scientific organisms of Europe;
c)to develop and spread the discoveries of the European science and their implementation in technology;
d)to encourage the development of scientific relationships between Europe and the remaining World.
e)to organise scientific manifestations, at national and European level, with the agreement of various scientific institutions and organisms;
f)to organise courses and programs of scientific instruction, worksops and meetings, including international participation, in the view of forming young high level scientists;
g)to organise periodic conferences, workshops, round tables, in the field of Mathematics and Chemistry, at National and International level, and to help the publication of the lectures presented in suchs manifestations;
h)to guide programs and projects of scientific research, or of technological development, to encourage the development and application of scientific innovations, prototypes, etc., in field of Mathematics and Chemistry;
i)to promote and guide the development of scientific software and other didactical matherials;
j)to organise a data base in the field of Mathematical Chemistry and to publish a scientific journal;
k)to offer scholarships and awards to merituous young scientists in the field;
l)to attract financial suppots in view of realization of the above objectives.

CHAP. III. THE QUALITY OF MEMBER

Art. 7. Any person, which recognizes the Statute and fulfils the assumed obligations, can become a member of the European Society of Mathematical Chemistry. The personal contribution is 50 Euro per year.

Art. 8. The quality of associate/member is obtained by an application, as a hard copy or an electronic file, addressed to the General Meeting of ESMC.

Art. 9. The quality of associate/member is lost:
a)at request,
b)in case of decease,
c)at the disolution of the Society
d)in case of exclusion, decided by the Directory Council, as a consequence of actions contrary to the scope and objectives of ESMC.

Art. 11. Rights of the associates:
a)to express the vote at the sessions of the General Meeting; the vote can be expressed either personally, by physical presence at the Summit, or by mail (electronic or normal).
b)to elect and be elected in any function.
c)to participate at any of the actions organized by ESMC.
d)to access the data base of ESMC.
e)to retire freely from ESMC.
f)to benefit of all advantages offerred by ESMC.

Art. 12. Obligations of the associates:
a)to respect the Statute and the decisions of the General Meeting and of the Directory Council.
b)to activate in view of realization of the goals and objectives of ESMC.
c)to contribute to the data base of ESMC.

CAPITOLUL V. OFFICERS of ESMC and AUXILIARIS

Art. 9. The General Meeting is held with occasion of some periodic meetings organised by ESMC, and consists of ordinary members, the elected officers and honorary members. The place of helding the General Meeting is thus NOT FIXED in any city of Europe.

Art. 11. Between General Meeting sessions, ESMC is leaded by the Directory Council, whose officers are elected, in a session of General Meeting, for a period of two years. The Directory Council consists of five members, of which one president, one vice-president and a secretary.

Art. 13. The General Meeting has the following attributions:
a)moddifies the Statute and the Constitutive document.
b)elects and retires the officers of the Directory Council of ESMC.
c)discuss and approves the programe, bugget and activity of ESMC.
d)approves the end of ESMC.

Art. 16. The Directory Council manages the activity of ESMC, in agreement with its goals and objectives, defined in the Statute.
The Council has the following attributions:
a)convokes the general Meeting and writes the raport of activity of ESMC;
b)elaborates the programes of activity of ESMC, the budget project and its realisation.
decides any action in the benefit of ESMC, in agreement with its Statute.
c)explores financial support for the activity of ESMC and uses it only in agreement with the Statute.
d)Approves applications for membership, or retiring or also exclusion (of members manifesting opposition to the letter of the Statute).

Art. 17. Details regarding the activity of the Directory Council can be established in some Internal Rules.

Art. 19. The President of the Directory Council has the attributions:
a)convokes the Directory Council.
b)presides the General Meeting of ESMC and the meetings of the Directory Council, guides the activity of the Council.
c)signes the main documents of ESMC.
d)represents ESMC in relations with others.

Art. 20. The Vice-president signs in behalf of, and has all the attributions of the President, in case of his missing.

Art. 21. The Secretary writes the documents of ESMC.

Art. 22. The Financial Control is ensured by the Treasurer (elected by the general Meeting for a period of 2 years).

VI. FINAL DISPOSITIONS

Art. 25. ESMC will be ended by the decision of its General Meeting.

Art. 29. ESMC has its own stamp and logo.
